Job Purpose
This role will assist and provide a range of legal support and administration to corporate legal team.
Essential Duties and Responsibilities
​​​​​​​Manage the Company’s global subsidiaries, file and prepare domestic and international corporate records, including resolutions, board of director changes, annual reports, etc. with the assistance of outside counsel.
Provide support related to corporate restructurings, such as mergers, formations, and dissolutions.
Manage the Company’s Legal Billing System (Thomas Reuters’ Legal Tracker f/k/a Serengeti), including reporting, investigating invoicing issues, handling miscellaneous inquiries related to billing matters.
Review and help prepare marketing materials. Provide guidance to the Company regarding proper use of trademarks within marketing materials, Company literature, and product labeling.
Assist in preparation for IP matters, such as trademark opposition actions, investigating IP claims, counterfeit products, etc.
Prepare, review and negotiate Non-Disclosure Agreements.
Assist Company counsel with various projects as may be required, including document production, litigation support and other administrative tasks.
Assist with the administration of the Executive Compensation Program and Equity Incentive Plan.
The ideal candidate has strong verbal and written communication skills, an ability to interact, cooperate, and work collaboratively with business clients at all levels of management, and an ability to work with other members of the legal department on special projects and initiatives.
The ideal candidate maintains accuracy and close attention to detail, and is proactive in identifying issues, legal risks and potential liabilities, to escalate as needed.

Qualifications
• Minimum 2 years work experience as a paralegal. Experience in a corporate law department or law firm, corporate law group is preferred.
• The ideal candidate will be proficient in Microsoft Office software (Word, Excel, Outlook, PowerPoint, SharePoint), and Adobe
• Paralegal Certificate from ABA-approved program.
