Description/Job Summary
We are Signode, one of the most recognized manufacturers of industrial packaging worldwide. Signode is excited to be recruiting for Associate General Counsel -Americas. This position, based in Tampa, FL and reporting to the Senior Vice President & General Counsel, will be part of an active and engaged team committed to enabling Signode’s continued commercial success across the globe.The Associate General Counsel- Americas is responsible for providing comprehensive legal service to the Americas region, including oversight of litigation, corporate secretary function and general corporate legal transactions including contracts, real estate, compliance issues, and supervision of outside counsel as needed.  The ideal candidate will have experience dealing with various international jurisdictions in this regions and strong self-starter credentials with excellent writing, communication, and client-relations skills.  The Associate General Counsel - Americas will also work closely with other legal team members on matters relating to the development of the services provided by the legal team around the world.

Essential Functions Statement(s)
• Provide advice and counsel directly to business leaders covering all aspects of commercial law including employment issues, contracts, financial transactions and product liability and other litigation;
• Draft, review, evaluate, summarize, revise and negotiate routine and non-routine contracts, including, but not limited to confidentiality and non-disclosure, consulting, distributor, sales representative, supply, service, software, manufacturing, consignment, non-compete, terms and conditions of sale, terms and conditions of purchase, statements of work and other commercial documents for domestic and international business units in multiple practice areas;
• Manage the contract review and negotiation process;
• Manage and minimize Signode’s contract risks;
• Supervise and manage litigation and claims, including product liability cases and contract disputes;
• Ensure contract terms are consistent with Signode’s policies and objectives;
• Provide expeditious and careful review of contracts from Signode’s suppliers, customers and other parties;
• Work effectively with in-house attorneys, contracts paralegals, various departments and Signode business units to develop legal strategies and objectives;
• Take lead in reviewing best practices for improving legal processes;Managing the budget to ensure legal services are provided in a strategically efficient and cost-effective manner Support efforts for value creation by legal department
• Design and conduct legal training to develop capabilities and ways of operating that progress competence in the region. Participate as a team member to the legal team including supporting other work streams, projects, and transactions, as needed.
• Manage global corporate secretarial database and subsidiary meetings
POSITION QUALIFICATIONS
SKILLS & ABILITIES
Education, experience, and abilities:
• Law degree, admission to a state bar
• Minimum of ten (10) years’ legal experience. Previous litigation, contracts, and corporate law experience is a plus, and experience in an in-house counsel role is strongly preferred.
• Commercial legal business partner - with a proven track record of results and strong commercial risk assessment skills.
• Solid understanding of basic governmental regulations and employment law a must, along with proven ability in legal research, analysis and drafting.
• Experience managing litigation (experience managing products liability litigation is a plus)
• Ability to make recommendations to effectively resolve problems or issues, using judgment consistent with standards, practices, policies, procedures, and regulations
• Strong organizational skills; ability to suggest ways to improve processes
• Excellent, demonstrated verbal and written communication skills; able to translate thoughts and ideas into written product
• Strong organizational and quantitative skills, as well as demonstrated ability to prioritize work and manage projects independently
• Ability to focus on multiple deadlines and change as the demands and fast pace requires
• Comfortable working in a dynamic and changing environment
• Able to travel to various operational sites as needed (5% plus )
Computer skills:
• Proficiency in MS Office suite required (Word, Excel, PowerPoint and Outlook)
