Summary
We are is seeking an experienced General Counsel who will be responsible to lead a global team of professionals providing strategic and high-quality legal advice and services across the organization. In this role the incumbent will direct, plan, harmonize, administer, and coordinate all legal, commercial and contract management activities for the Defense & Security Business Unit. The position will report direct line to the Group President Defense & Security and dotted line to the General Counsel, Chief Compliance Officer and Corporate Secretary. The General Counsel will play an important part in the development and growth of the company.
Specific Responsibilities • Lead a global team of lawyers and other professionals providing practical, timely, strategic and high-quality legal advice and services across the organization
• Support and advise the Defense & Security Leadership team on various legal, business and commercial matters
• Provide assistance with global joint ventures, strategic partnerships, and mergers and acquisitions
• Advise on the interpretation of laws and regulations applicable to the business unit's activities
• Provide legal advice and solutions regarding issues and risks relating to the on-going and expanding business
• Oversee the establishment of policies to support Business Unit governance as well as ensure corporate compliance
• Oversee the management and administration of contracts and ensure harmonization across the business. Manage and ensure that contracts negotiation/authorization are in place to identify and mitigate any commercial and legal risks
• Align and uniformize processes and commercial contracts to ensure cost effectiveness
• Identify, evaluate, and resolve complex business issues in a collaborative manner through cross-functional business teams
• Manage the development and implementation of various types of contracts and internal policies in line with the current Company's business needs and anticipated growth
• Drive alignment and programs, to educate the organization on legal, commercial and regulatory matters and on the business implications
• Manage relationships with outside counsel as needed and lead strategic ad hoc projects as required
• Lead and grow the skillsets and impact of performing professional legal team that partners with internal stakeholders across the organization to support current and future business needs
• Assess current state, identify areas of continuous improvement, and define the strategic direction
Executive Management
• Serves as a member of the Executive Leadership Team of the Defense & Security Business Unit
• Company officer and Key Management Personnel
• Active member of the ourLegal, Compliance and Risk Management team
• Participates in key decisions pertaining to strategic initiatives and operational excellence
Team Management
• Manages, mentors and develops a team of legal and contract professionals within a multi-location international environment
Professional Experience/Qualifications
• Law degree (common law or equivalent experience), MBA would be an asset
• Active Member of the American Bar Association
• 12+ years of legal experience with a major law firm and/or relevant in-house experience
• 5+ years directly related experience managing corporate/commercial lawyers
• Prior experience in the role of Legal Counsel of a $1B+ business of public company preferred
• Experience working in companies dealing with government contracts and international multi-site operations. Special Security Agreement experience a plus
• Must currently hold and maintain a US Department of Defense Security Clearance

• Ability to travel on a regular basis
