Job Description Job Description Role and Responsibilities
Under the supervision of the Chief Financial Officer, the corporate paralegal will be responsible for contract review, drafting, maintenance, and analysis on a variety of transactional matters. This role will assist with certain corporate governance responsibilities, including the timely and accurate submission of annual reports and other required filings for each legal entity within the organization in various jurisdictions.  In addition, this position will provide support to C-Suite as well as prepare for board meetings and board documents.
·       Prepare and timely file corporate annual reports and other required filings with various Secretaries of State or similar agencies.
·       Assist in organizing entities, including formation certificates, tax forms, registration and renewal of company subsidiaries, fictitious name filings and state corporate compliance.
·       Obtain Employer Identification Numbers and follow up with state regulatory agencies for any missing data
·       Draft and file foreign qualifications
·       Prepare Annual Reviews
·       Assist with administration of some securities filings.
·       Support on contract formation, contract negotiation, and contract review.
·       Organize and maintain corporate status and formation documents- such as board minutes
·       Obtain and manage operating agreements, board resolutions, and board consents
·       Assemble board book materials and coordinate Board Meetings
·       Act as administrator for Board Portal and obtain board member consents as required
·       Prepare and submit C-Suite expense reports
·       Perform other duties as assigned
Qualifications and Education Requirements
·       College degree preferred
·       Certified Paralegal (CP) preferred but not required
·       Expert user Microsoft Office Suite (Word, Excel, PowerPoint, Publisher)
·       5-10 years of Corporate Paralegal experience
·       SEC filing and/or commercial real estate experience preferred but not required.

·       Exceptional verbal and written communication
·       Highly organized self-starter able to work with little direction.
·       Intermediate to Advanced proficiency with Microsoft Office (Word, Excel and Power Point) and web-based applications.
·       Must have knowledge of intermediate business and legal terminology as well as the ability to research and correctly interpret frequently used contract language.
·       High attention to detail and have strong organization skills
