About the Role
Validity is seeking an experienced, corporate Paralegal to join its Legal Team.
The Paralegal is a key individual contributor responsible for reviewing all inbound requests to the Legal Team, ensuring proper tagging and routing of legal work within the Contract Lifecycle Management (CLM) tool, and enforcing proper approval policies. The role involves up-front communication with colleagues and clients, fast review of agreements and transaction documents, revisions of terms and conditions, and assistance with review and revision of contracts. The Paralegal will be an effective project manager overseeing the workflow and timely completion of all contracts across the organization.
Position Duties and Responsibilities
• Review, prioritize, dispatch, and administer contracts throughout the contract lifecycle. Validate transaction documents and required ad hoc documentation, manage customer demands, and ensure timely contract closeout. Ensure auditability, reporting accuracy, and approvals through the CLM tool.
• Flag and summarize contractual risk and obligations to internal parties.
• Draft amendments, transaction documents, master agreements, and other related documents from time to time.
• Review customer sales contracts and vendor agreements to ensure they meet the company’s requirements under its policies, including those for risk tolerance.
• Summarize, report, and communicate trends and contract status. Track expiring contracts.
• Establish and implement processes to optimize workflows and utilization of limited resources as well as decrease turn-around times.
• Drive continuous improvement of templates and processes. Help identify areas for improvement in contracting processes.
• Collaborate effectively with other business units and at all levels throughout the organization to ensure agreements adequately protect the company’s interest while ensuring that effectively accelerates time to signature.
• Respond to questions from internal departments.
• Maintain current knowledge of relevant contractual procedures and practices.
• Manage complex and high-priority escalations with little supervision.
Required Experience, Skills, and Education
• 5-years’ experience in a paralegal, contracts manager, or legal operations role in a fast-paced legal department within a hyper-growth company.
• Ability to understand, interpret and explain legal principles.
• Knowledge of in-house legal department best practices
• Effective time management skills. Ability to organize, prioritize, multitask, and complete multiple high-priority activities within very tight deadlines.
• Strong problem resolution skills. Strong analytical, critical thinking, and problem-resolution skills; ability to identify, resolve or escalate issues as necessary.
• Meticulous attention to detail and extremely high standards for quality of work product.
• Effective interpersonal skills with refined ability to cultivate productive working relationships across functions and with multiple stakeholders.
• Well-developed service ethic – driven to provide excellent service to internal/external clients and ability to enforce legal requirements without alienating internal clients.
• Excellent communication skills (written, oral, presentation, and active listening).
• Ability to work equally well independently and as part of a team.
• Proficiency with computer applications including Windows, Excel, and Word.
Preferred Experience, Skills, and Education
• BA/BS degree or Paralegal certificate
• Collaborative Lifecycle Management (CLM) experience, preferably DocuSign.
