Reporting to the General Counsel, the Corporate Counsel will be responsible for a variety of general corporate legal transactional matters including contract negotiation, healthcare compliance, legal research, litigation, regulatory work, corporate financial transactions including merger and acquisition.
This role is located in Tampa,FL. Relocation assistance is available.
Responsibilities
• Assist the General Counsel with all facets of the legal department function
• Includes a variety of work in healthcare, corporate securities, litigation, compliance, risk and transactional areas
• Draft, negotiate variety of corporate contracts with a focus on healthcare contracts with affiliate and management companies
• Fluent in risk management and regulatory requirements
• Responsible for establishing standards and implementing procedures to ensure that the compliance programs throughout the organization are effective and efficient in identifying, preventing, detecting, and correcting compliance issues with applicable laws and regulations.
• Monitors the revision and implementation of external regulations, statutes, and standards; and facilitates implementation of requirements related to current regulations
• Review outward facing consumer document relating to forms, contracts and advertising materials
• Oversee, monitor and mitigate litigation claims involving general, professional and employment liability
• Develop risk mitigation strategies
• Stay current on changes to the regulatory landscape
• Coordinate efforts related to audits, reviews and general corporate transactions
• Provide analysis and legal advice on a wide variety of corporate matters
• Advise the General Counsel and other functional areas on corporate finance and securities transactions
• Draft security documents and filings
• Draft and maintain corporate compliance and governance documents
Qualifications
Education/Training:
• Law degree (JD) from a top law school accredited by the American Bar Association (ABA) and currently a member in good standing of the bar of a State, a Territory of the United States, or DC
Experience:
• Overall Legal Generalist with experience over general corporate legal work
• 5+ years’ Experience in a multi-unit or multiplatform healthcare environment required
• 5+ years relevant experience in related in-house legal
• Proven experience in a private equity environment. Public company experience a plus
• Strong knowledge of general and widespread legal requirements and procedures
• Ability to communicate effectively with financial and legal advisors and regulators
• Strong attention to detail, organization, and documentation skills
• Strong work ethic
• Ability to counsel and work with internal clients of diverse backgrounds, disciplines, needs and level of experience with legal matters
• Exceptional organizational skills with a keen attention to detail
• Ability to handle multiple, high priority projects in a highly demanding fluid environment
• Superior consulting, analytical and problem-solving abilities, with demonstrated ability to successfully manage critical situations and issues
• Hands-on, energetic, and motivated self-starter
• Excellent writing, editing, and oral advocacy skills
• Ability for occasional travel
• Professional, collaborative attitude
• Organized and detail oriented
