Summary:
The Assistant General Counsel (“AGC”) is primarily responsible for focusing on a substantive area of law, and managing one or more attorneys and other professional staff. These areas are broad in scope, strategic and relate to articulated areas of the business. AGC’s are likely to manage, among other individuals, experienced senior counsel. AGC’s will report either to a Deputy General Counsel, if any, or the Company’s Chief Legal Officer. An AGC may also be a highly-experienced subject-matter expert who may or may not manage other counsel, but who has a heightened level of expertise and responsibility for supporting a strategic segment of the business.
This position will focus on directing the legal efforts of attorneys and other professional staff, as well as performing their own functional responsibilities.
Responsibilities:
• Direct, lead and provide proactive legal advice and counsel on assigned subject areas.
• Hire, develop and lead other senior attorneys and professional legal staff, setting objectives and holding accountability for work product and advice; making employment decisions and/or recommendations on hiring, improvement plans, transfers, promotions, corrective actions, terminations, and merit adjustments.
• Manage and lead the review a wide-assortment of legal matters, and provide advice and counsel to the internal clients regarding same.
• Recommend and implement best practices and proactive strategies consistent with legal requirements and emerging trends to minimize liability and promote the Company’s strategic plan.
• Proactively identify recurring issues in assigned subject areas and provide advice and counsel to business leaders on complex issues that could impact organization.
• Collaborate with stakeholders to develop, review and revise, as required, company policies and procedures in assigned subject areas. Recommend changes to policies based on legal developments.
• Responsible for selecting, managing and overseeing outside counsel in assigned subject areas and within the parameters set by the Chief Legal Officer.
• Prepare reports for senior and executive management and provide recommendations, as appropriate.
• Pursue ongoing professional development in current areas of responsibility and in relevant, emerging areas of the law.
• Conduct legal research and analysis as necessary.
• Strategic accountability for the work-product of direct reports and other team members.
• Lead and develop necessary counseling to respective business units.
